Jeneé (Gifford) Hilliard's practice encompasses the fields of real estate, tax, and general business law. During law school, Jeneé worked as a law clerk at Gruber & Associates, PC. Before attending law school, she worked as a trust assistant in the investment management and trust services department at Baker Boyer National Bank in Walla Walla, Washington.

Real Estate
Jeneé regularly advises clients with respect to commercial leasing transactions, condominium development and operation, real estate purchases and sales, real estate loans, and condominium development and operation. She has represented landlords, tenants, purchasers, sellers, brokers, small business owners, property owners, school districts, fire districts, drainage districts, universities, nonprofit organizations, and financial institutions in real-estate-related matters.

Tax
Jeneé has significant experience with structuring and advising clients regarding tax-deferred exchanges and tenancy-in-common transactions and regularly assists clients with issues related to cancellation of debt income and property tax exemptions. Jeneé is the coauthor of the upcoming chapter titled "Like-Kind Exchanges" in the Oregon State Bar's book Documentation of Real Estate Transactions.

Business
Jeneé regularly assists clients with drafting, reviewing, and negotiating general business contracts. Her clients range from start-up companies to school districts, universities, and financial institutions.

Structure and close 1031 exchanges, including deferred exchanges, related-party exchanges, reverse exchanges, and improvement exchanges, and consult with clients and accountants on discrete 1031 issues, including related-party exchanges, taxable boot, and 45-day designations.
Review, draft, and negotiate general business agreements for clients, including lease agreements, promissory notes and trust deeds, releases, shareholder agreements, partnership and limited liability company agreements, listing agreements, option agreements, rights of first refusal and first offer, asset purchase agreements, easements, license agreements, and service agreements.
Prepare loan documents for lenders, assist lenders with loan modifications and real estate secured loans, including title and title insurance issues, subordination agreements, and review and negotiate loan documents for borrowers and assist borrowers with real estate loan closings.
