McMenamins, the well-known Northwest chain of restaurants and brewpubs, with legal guidance on the company's exciting project in Bothell, Washington. The redevelopment of historic Anderson School will be one of the early projects in the Northwest to take advantage of new U.S. Securities and Exchange Commission rule 506(c) which permits private securities offerings to be publicized without being subject to registration under the Securities Act of 1933.

Brothers Brian and Mike McMenamin are seeking outside investors to contribute $8 million in equity for their latest entertainment venue, a $26.2 million project that will transform a middle school on Seattle’s eastside into the Puget Sound equivalent of Portland’s Kennedy School. This week, the brothers went public with their plan, taking advantage of a recent change in U.S. Securities and Exchange rules concerning how companies go about raising funds.
