George K. Kaai

George Kaai is an attorney on the Miller Nash Graham & Dunn real estate & land use and business teams. George assists clients with a variety of commercial real estate transactions, including drafting and negotiating purchase and sale agreements and lease agreements for owners of office, retail, and industrial space. In addition, he drafts and negotiates easement agreements to resolve boundary disputes and other encroachments, as well as to permit certain construction and environmental remediation efforts. George also works with lenders in real estate finance and commercial secured transactions. He has represented clients in several different industries, including financial services, energy, natural resources, retail, and education.

Before joining the firm, George was a judicial intern for the Honorable Debra L. Stephens, Washington State Supreme Court.

Representative Experience

  • Worked on sale of tenant-in-common interest in real property for professional service corporation client with commercial real estate holdings in Snohomish County.
  • Worked with individual on acquisition of timberlands located on the Key Peninsula.
  • Worked with independent school client on acquisition of commercial real estate in Seattle.
  • Drafted and negotiated a comprehensive easement agreement to clear title and permit development of commercial real estate in Seattle.
  • Worked on $39 million acquisition of multiple fuel service facilities for an oil company in western Washington, including, in part, the drafting of an asset purchase agreement relating to our client’s acquisition of retail gas station inventory and business enterprise.
  • Advised a client in connection with the State of Washington Energy Facility Site Evaluation Council (EFSEC) regulatory process.
  • Worked with a financial institution on $13 million term loan secured by commercial office building in Bellevue, Washington
  • Worked with a Canadian lender on a commercial lending facility for borrower engaged in the distribution of raw materials and industrial containers with warehouses throughout the Pacific Northwest
  • Worked with a domestic bank on the restructuring of credit facility for borrower engaged in the distribution of computer networking products; facility was secured by borrower’s inventory, accounts receivable, and other assets
  • Worked with a domestic bank on documenting various agriculture lending facilities.
