George K. Kaai

George Kaai is an attorney on the Miller Nash Graham & Dunn real estate & land use and business teams. George assists clients with a variety of commercial real estate transactions, including drafting and negotiating purchase and sale agreements and lease agreements for owners of office, retail, and industrial space. In addition, he drafts and negotiates easement agreements to resolve boundary disputes and other encroachments, as well as to permit certain construction and environmental remediation efforts. George also works with lenders in real estate finance and commercial secured transactions. He has represented clients in several different industries, including financial services, energy, natural resources, retail, and education.

Before joining the firm, George was a judicial intern for the Honorable Debra L. Stephens, Washington State Supreme Court.

Representative Experience

  • Drafted and negotiated a comprehensive easement agreement to clear title and permit development of commercial real estate in the Capitol Hill neighborhood of Seattle, Washington.
  • Represented educational association in connection with a sale/leaseback transaction for a commercial office building in south King County, Washington, containing approximately 60,000 rentable square feet of space.
  • Represented real estate investment and development firm in connection with the termination of a long-term master lease with a private university for a student-housing building in San Diego, California.
  • Worked with independent school client on acquisition of various parcels of commercial real estate in Seattle, Washington.
  • Represented tenants-in-common in connection with sale of a residential apartment building in Seattle, Washington, for nearly $15 million.
  • Represented a landlord in connection with the lease of approximately 10,500 square feet of retail space in Gig Harbor, Washington, to a national retailer of beauty products.
  • Represented an institutional asset management company, as landlord, in connection with the lease of approximately 90,000 square feet of office space in Bellevue, Washington, to a telecommunication company.
  • Represented a national refining company in connection with the acquisition, subject to the reservation of a life estate by the seller, of “buffer” property around an existing oil refinery.
  • Represents real estate investment and development firm in connection with retail and office leases in Washington and Oregon, including a lease for nearly 62,000 rentable square feet of office space to a rental management company in the Pearl District in Portland, Oregon.
  • Worked on the sale of industrial warehouse property in Kent, Washington, to a real estate investment company, with a sale price in excess of $12 million.
  • Worked on the $16 million acquisition of a marina in Seattle, Washington, on behalf of a municipal corporation.
  • Assisted in closing a $41 million transaction involving, in part, commercial real estate in eastern Washington used as a data center.
  • Worked on sale of tenant-in-common interest in real property for professional service corporation client with commercial real estate holdings in Snohomish County.
  • Drafted and negotiated documents relating to the acquisition and preservation of multiple parcels of timberlands located on the Key Peninsula.
  • Worked on $39 million acquisition of multiple fuel service facilities for an oil company in western Washington, including, in part, the drafting of an asset purchase agreement relating to our client’s acquisition of retail gas station inventory and business enterprise.
  • Advised a client in connection with the State of Washington Energy Facility Site Evaluation Council (EFSEC) regulatory process.
  • Represented financial institution on $13 million term loan secured by commercial office building in Bellevue, Washington.
  • Worked with a Canadian lender on a commercial lending facility for borrower engaged in the distribution of raw materials and industrial containers with warehouses throughout the Pacific Northwest.
  • Worked with a domestic bank on the restructuring of credit facility secured by the inventory, accounts receivable, and other assets of a borrower engaged in the distribution of computer networking products.
  • Drafted and negotiated documents on behalf of a domestic bank in connection with the restructuring of $115 million syndicated credit facility.
  • Represents domestic bank on documenting various agriculture lending facilities.
  • Drafted and negotiated documents relating to a secured line of credit to a homebuilder to finance and refinance construction of homes affected by defective joists.
  • Worked with a domestic lender on multiple financing transactions with tribal entities, including an approximately $13 million revolving loan secured by the tribe’s cigarette tax revenues.
  • Worked with a domestic lender on restructuring multiple credit facilities for a Washington-based timber company, including drafting loan and security instruments.
  • Worked with a domestic lender to increase an existing credit facility for an Oregon-based timber company, including review of title documents and drafting of ancillary loan documents for real property security located across five counties.
