Advised client’s board of directors in developing and proposing appropriate merger terms. Conducted due diligence process. Prepared and negotiated merger agreement and related transaction documents. Assisted with obtaining required board and shareholder approvals.
Assisted biotechnology company in approximately $12 million preferred stock financing from a venture capital fund.
