We advise our public clients regarding compliance with securities registration and reporting requirements and insider trading. We help shareholders, boards of directors, and management evaluate and respond to regulatory enforcement actions, such as memoranda of understanding, consent orders, prohibition orders, and civil money penalty assessments.

Representative Experience

Has represented both plaintiffs and defendants (regional, national, and international) on complex commercial contract issues, from $250,000 to $24 million. Recent issues have included loan participations, lender liability, construction and real estate, noncompetition clauses, stock options, and guarantees.
We assisted Columbia Banking System, Inc., in acquiring a community bank valued at $60 million in exchange for a combination of cash and SEC-registered stock.
We represented Bank of the Northwest in its acquisition by Pacific Northwest Bancorp in a transaction valued at $125 million in exchange for a combination of cash and SEC-registered stock.
We assisted West Coast Bancorp in acquiring a community bank valued at $25 million in exchange for a combination of cash and SEC-registered stock.
We assisted Pacific Financial Corporation in its acquisition of BNW Bancorp, Inc., in exchange for SEC-registered common stock valued at $21 million.
